This is an incentive program. A specific action is required to earn a reward, and purchase is not required to enter or to generate a referral link.

1. Sponsor

Tulip HoldCo Ltd., 2nd Floor, Water’s Edge Building, Wickhams Cay II, Road Town, Tortola, British Virgin Islands (“Sponsor,” “Kraken,” “we,” “us”). Breakout evaluation accounts are delivered by Payward Oceanic Ltd. (“POL”). Sponsor is the entity responsible for the administration of this Program; POL is the entity through which Breakout products and services are provided.

2. Eligible Areas

The Program is open to eligible customers residing in the European Economic Area (“EEA”), the United Kingdom, the United States (excluding Maine and New York), Canada (excluding Quebec), and other jurisdictions where Breakout evaluation accounts are available. Void where prohibited.

3. Program Period

The Program begins at 00:00 UTC on September 14, 2026, initially for a selected cohort of eligible customers, with broader availability to follow. This Program has no stated end date and will continue until modified, suspended, or terminated in accordance with Section 15.

4. How to Enter / How to Participate

Any registered Breakout user (“Referrer”) can generate and share a unique referral link through the Breakout customer portal. A new customer who signs up through that link (“Referred Friend”) receives 5% off the purchase price of their first evaluation. No form submission, evaluation purchase or identity verification is required for a Referrer to generate or share a referral link. Before Referral Credit is issued, the Referrer must complete identity verification and satisfy Kraken’s geo-eligibility check (see Section 8). A Referrer in an excluded jurisdiction at the time of credit issuance will not receive Referral Credit.

5. Reward

The Referrer earns USD $25 credit (“Referral Credit”) for each Qualified Referral. A “Qualified Referral” is a Referred Friend who completes KYC verification.

 

Referral Credit is valid solely toward the purchase price of the Referrer’s own base evaluation product. Referral Credit is not valid toward add-ons, upsells (including the 90/10 profit-split add-on), or any other cart item; is not redeemable for cash; and is not transferable.

 

Following a Qualified Referral, Referral Credit is created in a pending state and held for review for 14 days, during which it is not spendable. It is then issued to the Referrer’s account and becomes spendable. Referral Credit expires 30 days after it becomes spendable if unused, automatically and without extension, reissuance, or reactivation.

 

Referral Credit cannot be combined with discount codes. Where a discount code and Referral Credit would both otherwise apply to the same purchase, the discount code applies instead.

6. Caps

Maximum $500 in Referral Credit per Referrer per calendar month, equivalent to 20 Qualified Referrals. Credits stack toward this monthly cap only, subject to Section 5.

7. Kraken Account and KYC Requirement

To receive and use Referral Credit, a Referrer must have a Breakout account in good standing and must satisfy Kraken’s geo-eligibility check at the time of credit issuance (see Section 8). A Referred Friend must complete KYC verification for a referral to qualify, plus any additional verification required by Kraken/POL or applicable law.

8. Eligibility

Eligibility under this Program is assessed with respect to the Referrer only, at the time Referral Credit is issued, based on the Referrer’s self-declared country, KYC country, sub-national address information where available, and IP address for any remaining cases. The Referred Friend’s eligibility for the underlying Breakout product is governed separately by Breakout’s own product eligibility terms and is not part of this Program’s eligibility criteria. Participants must agree to these Terms and the applicable Kraken/Breakout Terms of Service, and must not be ineligible to participate under applicable law in their jurisdiction.

9. Disqualification

Kraken/POL may disqualify any participant for fraud, false information, self-referral, use of multiple or duplicate accounts, bot- or script-driven referral activity, or any attempt to circumvent these Terms.

10. Winner Notification and Prize Fulfillment

Not applicable in the sweepstakes sense; Qualified Referrals and Referral Credit issuance are tracked automatically and reflected in the Referrer’s portal dashboard.

11. Consents and Approvals / Data and Privacy

Participation involves processing of referral, KYC, and geo-eligibility data as described in the applicable Privacy Policy, which is incorporated by reference.

12. Disclaimers

Kraken/POL is not liable for technical failures, platform outages, or force majeure events affecting the Program, or for any failure of a referral link to function as intended.

13. Limitation of Liability, Disputes, and Governing Law

By participating in the Program you agree to and hereby do release and hold harmless Tulip HoldCo Ltd. and its affiliates, officers, directors, employees, and agents (collectively, “Kraken”) from any damage, injury, death, loss, claim, action, demand, or other liability (collectively, “Claims”) that may arise from your acceptance, possession and/or use of any Referral Credit or your participation in this Program, regardless of whether such Claims, or knowledge of the facts constituting such Claims, exist at the time of entry or arise at any time thereafter. BY PARTICIPATING IN THE PROGRAM, YOU AGREE THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION THAT CANNOT BE RESOLVED BETWEEN YOU AND KRAKEN ARISING OUT OF OR CONNECTED WITH THE PROGRAM WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWENTY FIVE DOLLARS ($25.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL YOU BE PERMITTED TO OBTAIN ANY AWARD FOR, AND YOU HEREBY KNOWINGLY AND EXPRESSLY WAIVE ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TWENTY FIVE DOLLARS ($25.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; (4) YOUR REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.

14. Taxes

Participants are solely responsible for any taxes arising from receipt of Referral Credit. Kraken does not provide tax advice. Kraken will comply with applicable tax reporting obligations where required by law.

15. General Terms

Kraken reserves the right, in its sole discretion and without prior notice, to modify, suspend, or terminate this Program, in whole or in part, at any time, including modifying the reward amount, monthly cap, eligible actions, or eligibility criteria described in these Terms. Kraken will use reasonable efforts to post notice of material changes at this page. Referral Credit that has been issued and remains within its 30-day validity period at the time of any modification, suspension, or termination will continue to be honored in accordance with these Terms, unless withholding or reversal is required by applicable law or is reasonably necessary to prevent fraud or abuse. All decisions by Kraken regarding the administration of this Program are final. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.

 

In the event of any inconsistency between the English and Spanish versions of these Terms, the English version shall prevail.
